Essentially GS takes toxic waste, swaps the cash flows from the toxic waste for a fixed rate (say 8%).
If the toxic waste cash flows drop below some threshold, GS puts the asset to us taxpayers at par (I''m sure Blackrock, Pimco, Legg Mason will make sure we don''t get cheated).
Gives them all the upside.
